What things should one ask/do when on a due diligence trip to an overseas business partner/service provider?
I work for an investment management company with legal counsel and service providers in the Cayman Islands. What documents, procedures, personnel should I inquire about or ask to see if I am making a routine due diligence trip?
Depends on how good your relationships are with these partners and what time you have. Key issues I would think;
> Meet senior management. For the strategic overview. Discuss their ambitions for their business / major challenges they have identified / any specific targets they have and are they meeting them / any changes to ownership or senior management planned.
> Meet senior operational / delivery management. For the tactical overview. Process they use / issues recognised / action being taken to deal with such problems / IT systems and development plans.
> Desktop review ; before you go ; look at their financials, how strong / stable are they ? Check news stories - anything rumoured about them ?
> Legal ; Who regulates them? Any regulatory compliance failures? Any criminal sanctions.
> "kicking the tyres". When your their; what do the offices look like (is it to cheap or lavish ?) / do the staff look happy / busy etc.
